2024 Annual General Meeting
Mondi plc’s Annual General Meeting was held on 3 May 2024.
All resolutions were decided on a poll and all resolutions were passed. Voting results are attached below. Overall, in excess of 76% of the total shares were voted.

2024 meetings
Mondi plc held a General Meeting on Monday 15 January 2024 to consider the matters set out in the Notice of General Meeting included in the Circular published on 19 December 2023 in connection with a proposed special dividend and share consolidation.
All resolutions were decided on a poll and all resolutions were passed. Voting results are attached below. Overall in excess of 73% of the total shares were voted.

All resolutions were decided on a poll and all resolutions were passed. Voting results are attached below. Overall approximately 76% of the total shares were voted.

Mondi plc’s Annual General Meeting was held on 5 May 2022.
All resolutions were decided on a poll and all resolutions were passed. Voting results are attached below. Overall in excess of 76% of the total shares were voted.

Mondi plc’s Annual General Meeting was held on 6 May 2021.
All resolutions were decided on a poll and all resolutions were passed. Voting results are attached below. Overall in excess of 76% of the total shares were voted.
2020 meetings
Annual General Meeting
Mondi plc’s Annual General Meeting was held on 7 May 2020.
As notified to the market on 9 April 2020, the Board took the decision to no longer propose a final dividend for the year ended 31 December. Resolution 4 (to approve the final dividend) was therefore withdrawn.
All remaining resolutions were decided on a poll. All resolutions were passed. Overall approximately 76% of shares were voted.
Farewell message from David Williams
The 2020 AGM was David Williams’ last as chair and as a member of the Mondi plc Board. Given it wasn’t possible for David to give a speech at the AGM, you can find a few words from David here:
Dear shareholders
As I look back on my time with Mondi, I am proud of all we have achieved together. From joining the Board in 2007 ahead of the listing, to being appointed Joint Chair in 2009 and then taking over as Chair following the corporate simplification in 2019, it has been a thoroughly rewarding journey.
People are looking to business for leadership and for solutions to some of the greatest challenges of our time, recognising the need for positive social, environmental and economic impact on all sectors of society. Mondi’s strength lies in the contribution it can make to a better world, leading the industry with its unique portfolio of sustainable packaging and paper, and culture of performance, care and integrity.
Mondi’s world-class approach to safety is something I am particularly proud to have been associated with, none more so than at the present time when teams across the world have been able to adapt so quickly to protect colleagues in this global pandemic. It has been remarkable to see how the Mondi team has dealt with the challenges – always prioritising the safety and health of employees, contractors and communities while still doing everything possible to be a reliable partner to customers, many of whom are producing essential products.
It has been an honour to serve as Mondi’s Chair and a privilege to work alongside high calibre Board members to guide Mondi’s successful development. My thanks go to each of them, as well as to Group CEO Andrew King, his executive team and Mondi colleagues around the world for the extraordinary commitment they have shown over the years.
We welcome Philip Yea as Mondi’s new Chair at a challenging time. Philip’s leadership style and extensive experience, both as an executive and non-executive director, across a range of sectors will be invaluable in navigating the current situation and steering Mondi’s successful future. I wish Philip and the Mondi team all the best, and I will follow Mondi’s progress in these most unpredictable times and beyond with great interest.

2019 meetings
Annual General Meeting
The Annual General Meetings of Mondi Limited and Mondi plc were both held on 9 May 2019. As required by the dual listed company structure, resolutions related to common business, plus the final two post-simplification resolutions were treated as Joint Electorate Actions.
The voting results of the Joint Electorate Actions are identical. The Simplification resolutions were treated as Class Rights Actions (and were required to be passed by the requisite majority of shareholders of both Mondi Limited and Mondi plc, acting independently). The exception was the resolution to approve the scheme of arrangement, which was voted on by the shareholders of Mondi Limited only. All resolutions were decided on a poll and all resolutions at both meetings were passed. Voting results are attached below. Overall in excess of 72% of the total Group shares were voted.

Annual General Meeting
The Annual General Meetings of Mondi Limited and Mondi plc were both held on 16 May 2018. As required by the dual listed company structure, all resolutions were treated as Joint Electorate Actions and were decided on a poll.
All resolutions at both meetings were passed. The voting results of the Joint Electorate Actions are identical and are attached below. Overall in excess of 68% of the total Group shares were voted.
2017 meetings
Annual General Meeting
The Annual General Meetings of Mondi Limited and Mondi plc were both held on 11 May 2017. As required by the dual listed company structure, all resolutions were treated as Joint Electorate Actions and were decided on a poll.
All resolutions at both meetings were passed. The voting results of the Joint Electorate Actions are identical and are attached below. Overall in excess of 76% of the total Group shares were voted.

Annual General Meeting
The Annual General Meetings of Mondi Limited and Mondi plc were both held on 12 May 2016. As required by the dual listed company structure, all resolutions were treated as Joint Electorate Actions and were decided on a poll.
All resolutions at both meetings were passed. The voting results of the Joint Electorate Actions are identical and are attached below. Overall in excess of 76% of the total Group shares were voted.
The directors have noted that the votes against resolutions 20, 21, 22, 31 and 32 were higher than for other resolutions. These resolutions relate to the authority to be given to directors to allot and issue shares. The voting is in line with the pattern Mondi has seen at previous Annual General Meetings. Having engaged with shareholders in this regard over recent years the directors are aware that South African shareholders in particular (who represent over 33% of the total voting shares) have particular concerns about these types of resolution. We understand from our engagement with shareholders that this is not specific to Mondi and they routinely vote against such resolutions as a matter of policy.
2015 meetings
Annual General Meeting
The Annual General Meetings of Mondi Limited and Mondi plc were both held on 13 May 2015. As required by the dual listed company structure, all resolutions were treated as Joint Electorate Actions and were decided on a poll.
All resolutions at both meetings were passed. The voting results of the Joint Electorate Actions are identical and are attached below. Overall in excess of 62% of the total Group shares were voted.
The directors have noted that the votes against resolutions 20, 21, 22, 29 and 30 were higher than for other resolutions. These resolutions relate to the authority to be given to directors to allot and issue shares. The voting is in line with the pattern Mondi has seen at previous Annual General Meetings. Having engaged with shareholders in this regard over recent years the directors are aware that South African shareholders in particular (who represent over 44% of the total voting shares) have particular concerns about these types of resolution. We understand from our engagement with shareholders that this is not specific to Mondi and they routinely vote against such resolutions as a matter of policy.
2014 meetings
Annual General Meeting
The Annual General Meetings of Mondi Limited and Mondi plc were both held on 14 May 2014. As required by the dual listed company structure, all resolutions were treated as Joint Electorate Actions and were decided on a poll.
All resolutions at both meetings were passed. The voting results of the Joint Electorate Actions are identical and are attached below. Overall in excess of 74% of the total Group shares were voted.
We note that the percentages of votes in favour of resolutions 20, 21, 22, 30 and 31 were particularly low compared to the other resolutions. These resolutions relate mainly to the authority to be given to directors to allot shares. We are aware that South African shareholders have particular concerns about these types of resolution which we understand are not specific to Mondi and they routinely vote against such resolutions as a matter of policy.

The Annual General Meetings of Mondi Limited and Mondi plc were both held on 3 May 2013. As required by the dual listed company structure, all resolutions were treated as Joint Electorate Actions and were decided on a poll.
All resolutions at both meetings were passed. The voting results of the Joint Electorate Actions are identical and are attached below. Overall in excess of 83% of the total Group shares were voted.
2012 meetings
Annual General Meeting
The Annual General Meetings of Mondi Limited and Mondi plc were both held on 3 May 2012. As required by the dual listed company structure, all resolutions were treated as Joint Electorate Actions and were decided on a poll.
All resolutions at both meetings were passed with the exception of resolutions 22 and 32. The voting results of the Joint Electorate Actions are identical and are attached below. Overall 77% of the total Group shares were voted.
Resolution 22 proposed that the directors of Mondi Limited be given authority to allot and issue ordinary shares of Mondi Limited for cash. Resolution 32 proposed that the directors of Mondi plc be given authority to allot equity securities for cash in connection with a rights issue to ordinary shareholders. We note that South African shareholders have particular concerns about these types of resolution which we understand are not specific to Mondi and they routinely vote against such resolutions.

At the Mondi Limited General Meeting held on Thursday 30 June 2011 at 12.00pm (South Africa) and the Mondi plc General Meeting held on Thursday 30 June 2011 at 11.00am (United Kingdom) (the “Meetings”), all of the resolutions proposed at the Meetings were approved by the requisite majority of votes. The Annual General Meetings of Mondi Limited and Mondi plc were both held on 6 May 2010. As required by the dual listed company structure, all resolutions were treated as Joint Electorate Actions and were decided on a poll.
All resolutions at both meetings were passed except for resolution 16. The voting results of the Joint Electorate Actions are identical and are attached below.
Resolution 16 proposed that the directors of Mondi Limited be given authority to allot and issue ordinary shares of Mondi Limited for cash. We note that South African shareholders have particular concerns about this type of resolution which we understand are not specific to Mondi.

Annual General Meeting
The Annual General Meetings of Mondi Limited and Mondi plc were both held on 7 May 2009. As required by the dual listed company structure, all resolutions were treated as Joint Electorate Actions and were decided on a poll.
All resolutions at both meetings were passed except for resolution 20. The voting results of the Joint Electorate Actions are identical and are attached below.
Resolution 20 proposed that the directors of Mondi plc be given authority to disapply pre-emption rights. Mondi has become aware that South African shareholders have particular concerns about this type of resolution. We will look into the matter further to understand fully the concerns of South African shareholders, which we believe are not specific to Mondi.
2008 meetings
Annual General Meeting
The Annual General Meetings of Mondi Limited and Mondi plc were both held on 7 May 2008. As required by the dual listed company structure, all resolutions were treated as Joint Electorate Actions and were decided on a poll.
All resolutions at both meetings were passed except resolution 17. The voting results of the Joint Electorate Actions are identical and are attached below.
Resolution 17 proposed that the directors be given authority to issue shares in Mondi Limited for cash, up to a limit of 5% of unissued share capital. Through the voting on resolution 17 and certain other resolutions, Mondi has become aware that South African shareholders have concerns about resolutions placing shares under the control of directors and, in particular, authorising the directors to issue shares for cash. We will look into this matter further to understand fully the concerns of South African shareholders, which we believe are not specific to Mondi.
